Terms of Service

1. Agreement to these Terms

These Terms of Service (the “Terms”) are a legal agreement between you and Alpha Noodle LLC (“Finzest”, “we”, “us”, or “our”), the operator of the Finzest financial-education service, including the finzest.app website and any related applications (together, the “Service”). Finzest is a sub-brand of AlphaNoodle.

By creating an account or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Who can use Finzest

You must be at least 16 years old (or the minimum age required in your country) to use the Service. By using Finzest you confirm that you meet this requirement and can form a binding contract.

You access the Service through an account created with our authentication provider. You are responsible for the accuracy of your information, for keeping your login credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use.

3. Subscriptions, free trial, and billing

Finzest is a paid service offered as Finzest Pro. We may offer a free trial (currently 7 days). Unless you cancel before the trial ends, your subscription begins and the applicable fee is charged automatically.

Current pricing is $4.99 per month or $39.99 per year. Prices are in U.S. dollars unless stated otherwise and may change with notice as described below.

Depending on where you subscribe, billing is handled by Stripe (web), the Apple App Store (iOS), or Google Play (Android). Subscriptions renew automatically at the then-current price for the chosen period until canceled. You can cancel as follows:

• Web: in your Finzest account settings or the billing portal.
• iOS: in your Apple ID subscription settings.
• Android: in your Google Play subscription settings.

4. Refunds and cancellation

You can cancel at any time. Cancellation stops future renewals; you keep access until the end of your current billing period. Except where required by law or stated by us in writing, fees already paid are non-refundable and we do not provide prorated refunds for partial periods.

Purchases made through the Apple App Store or Google Play are subject to those stores’ refund policies, which we do not control.

5. Your license to use Finzest

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own personal, non-commercial learning.

6. Acceptable use

You agree not to:

• use the Service for any unlawful purpose or in violation of these Terms;
• copy, scrape, or use automated means to access or collect content;
• reverse engineer, decompile, or attempt to extract source code, except where permitted by law;
• resell, sublicense, or commercially exploit the Service or its content;
• upload malware or content you do not have the right to share;
• interfere with, disrupt, or attempt to gain unauthorized access to the Service or its security; or
• impersonate any person or misrepresent your affiliation.

7. Content you provide

Some features let you upload content, for example, a bank-statement CSV used by the budget tool (“Your Content”). You retain ownership of Your Content. You grant us a worldwide, non-exclusive license to host, process, and use Your Content solely to operate and provide the Service, including transmitting it to our AI provider to generate the results you request.

You are responsible for ensuring you have the right to share Your Content. Please review our Privacy Policy and Financial Disclaimer for how financial data is handled.

8. Intellectual property

The Service, including its lessons, content, software, design, and the Finzest and AlphaNoodle names and logos, is owned by us or our licensors and is protected by intellectual-property laws. Except for the license granted above, no rights are transferred to you.

9. Financial education only, not advice

Finzest provides general financial education and informational tools. It does not provide personalized financial, investment, tax, accounting, or legal advice, and your use of it does not create an advisory or fiduciary relationship. Finzest is not a bank, broker, or investment adviser. See our Financial Disclaimer, and consult a qualified professional before making financial decisions.

10. Third-party services

The Service relies on third parties for functions such as authentication, hosting, AI processing, and payments. Your use of those functions may be subject to the third parties’ own terms, and we are not responsible for third-party services.

11. Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted or error-free, or that any content is accurate, complete, or current.

12. Limitation of liability

To the fullest extent permitted by law, Alpha Noodle LLC and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss resulting from financial decisions you make. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the 12 months before the claim or USD 100.

13. Indemnification

You agree to indemnify and hold harmless Alpha Noodle LLC and its affiliates from claims, damages, and expenses arising out of your misuse of the Service or breach of these Terms.

14. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or where reasonably necessary to protect the Service or other users. Provisions that by their nature should survive termination will survive.

15. Changes

We may modify the Service or these Terms from time to time. If we make material changes, we will provide notice (for example, by email or in the Service). Your continued use after changes take effect means you accept the updated Terms.

16. Governing law, disputes, and arbitration

These Terms, and any dispute or claim arising out of or relating to them or to the Service, are governed by the laws of the State of Minnesota, without regard to its conflict-of-laws rules, together with applicable U.S. federal law. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

Informal resolution first. Most concerns can be resolved quickly. Before starting an arbitration or court proceeding, you agree to email us at hello@alphanoodle.co with a description of the dispute and to allow 30 days for us to resolve it; we will do the same before bringing any claim against you. Completing this step is a condition of starting a formal proceeding.

Binding individual arbitration. If a dispute is not resolved informally, you and Finzest agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except as set out in the Exceptions below. The arbitration will be heard by a single arbitrator and may proceed by written submissions, telephone, or video; any in-person hearing will take place in Hennepin County, Minnesota unless you and we agree otherwise. The arbitrator's award may be entered as a judgment in any court of competent jurisdiction. The Federal Arbitration Act governs the interpretation and enforcement of this section.

No class actions; jury-trial waiver. You and Finzest agree to bring claims against each other only on an individual basis, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative action. The arbitrator may not consolidate more than one person's claims or preside over any class or representative proceeding. To the fullest extent permitted by law, you and Finzest waive any right to a trial by jury.

Exceptions. Either party may (a) bring an individual claim in a small-claims court that has jurisdiction, and (b) seek injunctive or other equitable relief in the state or federal courts located in Hennepin County, Minnesota to protect its intellectual property or confidential information. For any matter that is not subject to arbitration, you and Finzest consent to the exclusive jurisdiction and venue of the state and federal courts located in Hennepin County, Minnesota.

Your right to opt out. You may opt out of this arbitration agreement and the class-action waiver by emailing hello@alphanoodle.co within 30 days of first accepting these Terms, including your name, the email address on your account, and a clear statement that you opt out of arbitration. Opting out will not affect any other part of these Terms.

If any part of this section is held unenforceable, the remainder will stay in effect; however, if the class-action waiver is held unenforceable as to a particular claim, that claim will proceed in court rather than in arbitration.
